nextpertis GmbH Licence Agreement

This License Agreement (“Agreement“) is made and entered into as of the date of purchase by and between nextpertis GmbH (“Licensor“), a company incorporated under the laws of Austria, and the customer (“Licensee“).

1. Grant of License 

1.1 License Grant:

Subject to the terms and conditions of this Agreement and the accompanying Terms and Conditions, Licensor grants Licensee a non-exclusive, non-transferable, revocable license to use the Software for the duration of their subscription.

1.2 Permitted Use:

Licensee may install the Software on a single computer or device per license purchased. A licensee may not use the Software for any illegal or unauthorized purpose.

1.3 Restrictions:

Licensee is expressly prohibited from:

• Modifying, adapting, translating, reverse engineering, decompiling, disassembling, or creating derivative works based on the Software
• Distributing, renting, leasing, lending, sublicensing, or otherwise transferring the Software to any third party
• Removing or altering any copyright, trademark, or other proprietary notices contained in the Software
• Using the Software in any manner that could damage, disable, overburden, or impair Licensor’s servers or networks
• Using the Software to develop a competing product or service

2. Ownership 

2.1 Intellectual Property:

The Software and all associated intellectual property rights, including but not limited to copyrights, trademarks, and trade secrets, are owned by Licensor or its licensors.

2.2 No Ownership Rights:

This Agreement does not grant the Licensee any ownership rights in the Software, but only a limited license to use the Software as expressly permitted herein. All rights not expressly granted to Licensee are reserved by Licensor.
